USING THE WEBSITE OR OUR SERVICES.

1. INTRODUCTION

These Terms and Conditions (the "Terms") govern your access to and use of the website located

at inneralchemyco.com and its subdomain shop.inneralchemyco.com (collectively, the "Website")

and the services offered through the Website (collectively, the "Services"), owned and operated by

Inner Alchemy Co LLC ("Inner Alchemy Co," "we," "us," or "our"). The terms "you" and "your" refer

to any individual accessing or using the Website or Services. By accessing or using the Website,

you acknowledge that you have read, understood, and agree to be legally bound by these Terms

and our Privacy Policy.If you do not agree with any

part of these Terms or our Privacy Policy, you must not use the Website.

By using or entering the Website, you affirmatively consent to conduct business electronically

with Inner Alchemy Co and to engage in health and wellness activities facilitated through our

platform and affiliated clinical partners. You agree that Inner Alchemy Co (and our contracted

service providers and affiliated clinical partners acting on our behalf) may send you

transactional, operational, and care-related communications at the email address and phone

number you provide, including appointment notifications, intake and follow-up prompts,

prescription and fulfillment updates, and customer support messages.

We do not sell, rent, or share your phone number or SMS opt-in information with third parties or

affiliates for their own marketing or promotional purposes. Any sharing of your contact

information is limited to what is necessary to provide the Services, comply with law, prevent

fraud, or support care delivery and fulfillment.

2. MODIFICATION OF TERMS

We reserve the right, at our sole discretion, to amend these Terms in whole or in part at any

time and for any reason. Changes become effective upon posting to the Website. You can

determine when the Terms were last revised by referring to the "Last Updated" date above.

Your continued use of the Website after amended Terms have been posted constitutes your

acceptance of the updated Terms. If any provision of these Terms is not acceptable to you, your

sole remedy is to discontinue use of the Website.

3. DESCRIPTION OF SERVICES

Inner Alchemy Co operates as a health and wellness platform that connects individuals with

personalized treatment options in areas including hormone optimization, peptide therapy, weight

management, metabolic health support, stress and nervous system regulation, performance

optimization, skin health, and aesthetic wellness. We provide administrative, technological, and

membership services to facilitate your access to licensed healthcare providers and affiliated

clinical resources.

Inner Alchemy Co does not practice medicine, prescribe medications, or provide clinical

care. All clinical services, including medical consultations, evaluations, diagnoses, and

prescribing, are provided by independent licensed healthcare professionals through our

affiliated telehealth partner, Outfit Weight Management, LLC d/b/a OutfitMD (”OutfitMD”;), a

management services organization that operates a national network of affiliated professional

entities (collectively, the “Provider Group”). Each provider delivering clinical care through

OutfitMD is duly licensed, registered, or otherwise authorized to practice medicine in the state

where the patient is physically located at the time of service.

The Services provided by Inner Alchemy Co include: gathering and organizing health

information for use in medical provider encounters; administrative support for scheduling,

payment, and coordination of clinical consultations; coordination with partner pharmacies for

fulfillment of prescriptions issued by affiliated providers; and providing the technology platform

through which you can access telehealth consultations and manage your wellness plan

(collectively, the “Services”).

Your use of the Website and the Services does not create a doctor-patient relationship with

Inner Alchemy Co.

You consent to our delivery of your information to affiliated and unaffiliated pharmacies,

laboratories, and other service providers as necessary to coordinate fulfillment, testing, and care

delivery on your behalf.

4. RELATIONSHIP BETWEEN PARTIES

You understand and agree that all medical providers who deliver clinical services through the

platform are independent professionals contracted or employed by the Provider Group. Inner

Alchemy Co does not employ, supervise, or control the clinical judgment or medical decisions of

any healthcare provider.

Inner Alchemy Co is not responsible for any clinical services, including any personal injury,

adverse reaction, or other outcome arising from or related to the clinical care provided by a

medical provider or the Provider Group. Your relationship with the treating provider is

independent and separate from your relationship with Inner Alchemy Co.

5. ELIGIBILITY

To use the Services, the following must be true: you must be at least 18 years of age; you must

reside in the United States in a state or territory where the Services are available; you must

agree to be legally bound by these Terms; and you must have compatible computing or mobile

devices with internet access. Fees and charges may apply to your use of mobile services and

internet connectivity.

6. REGISTRATION AND USER ACCOUNTS

You are required to register for an account to access the Services. You agree to provide

accurate, complete, and current information during registration and to maintain and update your

information as needed. Your account credentials are personal to you. You must keep your

username and password confidential, exit your account at the end of each session, and not

share your credentials with any other person.

You are responsible for all activities that occur under your account. If you become aware of any

unauthorized use of your account, you must notify us immediately at

hello@inneralchemyco.com.

We may share your information only with: (a) vendors and subcontractors who provide services

on our behalf (such as hosting, communications, payment processing, and customer support);

and (b) our independent telehealth partners, providers, and fulfillment partners (such as

pharmacies and the Provider Group) solely to facilitate care delivery, clinical operations, order

processing, fulfillment, shipping, and customer support. We do not sell or share your consumer

data with third parties for their own marketing purposes.

7. YOUR RESPONSIBILITIES

As a condition of using the Services, you agree that all information you provide through the

Website is accurate, complete, and truthful, and you will promptly update any information that

changes. Clinical decisions, including prescribing and dosing, are based on the information you

provide and the provider’s independent medical judgment. If the information you submit is

inaccurate, incomplete, or outdated, the resulting treatment plan may not align with your

expectations.

You understand that once a prescription has been reviewed, approved, and transmitted to a

partner pharmacy, orders generally cannot be modified, canceled, or re-issued. You accept

responsibility for the accuracy of your responses and acknowledge that Inner Alchemy Co, its

affiliated providers, and pharmacy partners are not responsible for outcomes resulting from

inaccurate or incomplete disclosures.

8. CONSENT TO TELEHEALTH SERVICES

By using the Services, you consent to receiving healthcare services via telehealth

(telemedicine). Telehealth involves the use of electronic communications, information

technology, or other means to enable a healthcare provider and a patient at different locations

to communicate and share health information for the purpose of providing clinical care.

Telehealth may be used for assessment, treatment, diagnosis, prescribing, follow-up, and

patient education.

8.1 Benefits of Telehealth

Telehealth provides improved access to healthcare providers by allowing you to consult with a

provider from your home or other convenient location, and improved efficiency for access to

medical evaluation and management.

8.2 Risks of Telehealth

As with any medical interaction, there are potential risks associated with telehealth, including

but not limited to: technical problems such as video quality, sound quality, or connectivity issues

that may require rescheduling; the possibility that security protocols could fail, causing a breach

of privacy of personal medical information; and the provider’s inability to conduct a hands-on

physical examination.

8.3 Patient Acknowledgments

You acknowledge and understand that: if you are experiencing a medical emergency, you will

dial 911 immediately; you retain the right to withhold or withdraw consent to telehealth at any

time without affecting your right to future care; all confidentiality protections under applicable

federal and state laws apply; a provider’s advice and recommendations may be based on

factors not within their control, including information you provide; no guarantee of treatment

effectiveness is made; telehealth services are not a replacement for your primary care physician

or annual check-ups; and neither Inner Alchemy Co nor the Provider Group are online

pharmacies.

8.4 Recording

By accepting these Terms, you consent that telehealth sessions may be recorded for quality

review, operations, training, research, and safety purposes.

8.5 Clinical Services Provider

All medical services made available through Inner Alchemy Co are provided by licensed

healthcare professionals through Outfit Weight Management, LLC d/b/a OutfitMD, an

independent medical group that operates a national network of affiliated professional entities.

Each provider is duly licensed in the state where the patient is physically located at the time of

service.

8.6 Telehealth Informed Consent

You understand that your healthcare provider may use telehealth to diagnose, treat, and

prescribe medications.

You understand that telehealth involves electronic communication (video, audio, or

asynchronous tools); your provider will be licensed in the state where you are located at the

time of the visit; and you must confirm your physical location before each visit.

You acknowledge the following risks: limitations due to the absence of a physical examination;

possible technology failures or interruptions; and potential delays in diagnosis or treatment.

You understand: your information will be protected in accordance with HIPAA, but there are

risks inherent in electronic communication; you may seek in-person care from another provider

at any time; and you may withdraw consent at any time without affecting your right to future

care.

You understand that telehealth is not appropriate for emergencies; and in an emergency, you

will call 911 or go to the nearest emergency room.

You understand that medications may be prescribed when appropriate, subject to: state and

federal laws, including the Ryan Haight Act.

You consent to receive healthcare services via telehealth.

9. PAYMENT, PRICING, AND SHIPPING

9.1 Payment

When you submit your information and select a treatment plan, you agree to pay all fees due.

By entering your payment information and submitting your request, you authorize us, our

affiliates, or our third-party payment processors to charge the amount due. A temporary

authorization may be placed on your payment method to verify the availability of funds. Once

your consultation is completed and your treatment plan is approved by a licensed provider, the

pending authorization will post as a finalized charge. If a provider determines that treatment is

not medically appropriate for you, the authorization will be released and no charge will be made.

9.2 Pricing

All product and service pricing is subject to change at any time without notice. Prices may be

displayed as an approximate monthly cost to help you understand the effective cost per month.

Unless a third-party financing option is used, the full amount for the selected supply period is

due at checkout. Promotional or discounted pricing may be offered for limited periods and is

subject to separate terms.

9.3 Subscriptions and Renewals

Certain treatment plans may be offered on a subscription or recurring billing basis. Details of

any subscription terms, including billing frequency and cancellation procedures, will be clearly

presented at the time of purchase. You may cancel or modify your subscription as described in

the applicable plan details.

9.4 Shipping

All orders include standard shipping. Once your order is processed, approved, and

compounded, it is shipped directly to the address you provide. Delivery timelines may vary

based on your location, carrier delays, weather, or other factors outside our control. By placing

an order, you acknowledge that shipping estimates are not guaranteed. Title and risk of loss for

items transfer to you upon delivery by the carrier.

10. REFUNDS, CANCELLATIONS, AND CHARGEBACKS

10.1 General Policy

Because all prescriptions are custom-compounded and prescribed specifically for each patient,

Inner Alchemy Co generally does not permit refunds, returns, or exchanges once a treatment

has been approved or transmitted to a pharmacy. Returns cannot be accepted in accordance

with applicable laws governing prescription medications. Medical consultation fees are non-

refundable once a consultation has been completed.

10.2 If You Are Not Approved

If a licensed provider determines that you are not a candidate for treatment, any pending

payment authorization will be released and you will not be charged.

10.3 Limited Cancellation Exceptions

In limited and exceptional circumstances, Inner Alchemy Co may, at its sole discretion, permit

the cancellation of an order. If cancellation is granted before any clinical review or medication

costs have been incurred, a full refund may be issued. If cancellation occurs after provider

review or administrative processing has begun but before compounding, a cancellation fee of up

to $50 may be assessed. If compounding or fulfillment has begun, no refund will be issued and

the full amount will be retained. These exceptions are rare and applied case by case.

10.4 Chargebacks

You agree that all authorized charges are final once a clinical service has been rendered or a

prescription has been transmitted. If you believe a charge was made in error, contact us at

hello@inneralchemyco.com within seven (7) days. Initiating a chargeback without first

contacting us may result in account suspension. Inner Alchemy Co reserves the right to dispute

any chargeback it determines to be invalid. Repeated or fraudulent chargeback activity may

result in termination of your account and denial of future service.

11. RESTRICTIONS ON USE

You will not use the Website except as expressly permitted in these Terms. You may not: use

the Website for any unlawful purpose or in violation of any applicable law; attempt to gain

unauthorized access to any part of the Website or its systems; license, sublicense, sell, or

commercially exploit the Website; use the Website to create competing products or services;

take any action that could damage, disable, or impair the Website; upload or transmit viruses,

malware, or harmful code; remove or alter any proprietary notices or trademarks; use any

automated system to access the Website without our prior written consent; deceive, defraud, or

mislead us or our users, including any attempt to obtain sensitive account information, such as

user passwords; circumvent, disable, or interfere with security features of the Website and

platform; disparage, tarnish, or otherwise damage our reputation, or that of other users, or the

Website and platform, as determined by us; use any information obtained from the Website and

platform to harass, abuse, or otherwise harm users; misuse our support services or submit false

reports of abuse or misconduct; engage in unauthorized framing of or linking to the Website and

platform; perform automated activities on the Website and platform, such as using scripts, data

mining tools, robots, or other similar technologies to gather or extract data; impersonate another

user or person, or use someone else’s username; interfere with, disrupt, or impose an

unreasonable burden on the Website and platform or their connected networks or services;

harass, annoy, intimidate, or threaten our employees or agents who provide services related to

the Website and platform; attempt to bypass any measures designed to prevent or restrict

access to the Website and platform or their connected networks or services; and copy, adapt, or

modify the Website and platform’s software.

12. INTELLECTUAL PROPERTY

Inner Alchemy Co is the sole and exclusive owner of all right, title, and interest in and to the

Website and its content, features, and functionality, including all information, software, text,

images, video, audio, and overall design. Subject to your compliance with these Terms, we

grant you a personal, limited, revocable, nonexclusive, and nontransferable license to view,

access, and use the Website solely for your personal and non-commercial use. All rights not

expressly granted are reserved.

Certain names, logos, and materials displayed on the Website may constitute trademarks of

Inner Alchemy Co or its affiliates. You are not authorized to use any such trademarks without

our express written permission.

17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Inner Alchemy Co and its Related Persons

from and against any third-party claims, demands, liabilities, costs, or expenses (including

attorneys’ fees) arising from or related to: (i) any breach by you of these Terms; (ii) your use of

the Website or Services in an unauthorized manner; or (iii) your violation of any applicable law,

rule, or regulation.

18. GOVERNING LAW AND DISPUTE RESOLUTION

18.1 Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of

law principles.

18.2 Arbitration Agreement

You and Inner Alchemy Co agree that all claims and disputes arising out of or relating to these

Terms or your use of the Website shall be resolved by binding arbitration on an individual basis,

except for disputes that can be resolved in small claims court or disputes involving intellectual

property rights. Arbitration shall be administered by the American Arbitration Association

("AAA") under the AAA Consumer Arbitration Rules.

18.3 Waiver of Jury Trial

YOU AND INNER ALCHEMY CO LLC WAIVE ANY CONSTITUTIONAL OR STATUTORY

RIGHT TO A TRIAL BY JUDGE OR JURY. All claims shall instead be resolved through binding

arbitration as described above.

18.4 Class Action Waiver

ALL CLAIMS AND DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS AND NOT

ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. THE ARBITRATOR MAY NOT

CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER

ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

19. SUSPENSION AND TERMINATION

These Terms remain in effect as long as you access or use the Website. You may terminate by

discontinuing use. We may suspend or terminate your access at any time, with or without

notice, for any reason, including violation of these Terms. Upon termination, we have no further

obligation to provide Services, except as required by applicable legal, ethical, or professional

obligations regarding your health records and continuing care.

20. INSURANCE AND MEDICAL COVERAGE

The Services provided through Inner Alchemy Co are not substitutes for health insurance or

other health plan coverage. You are advised to maintain your health insurance policies. Neither

Inner Alchemy Co nor its affiliated providers will bill your insurer for services. It is your

responsibility to submit any invoices to your insurance or health plan provider. We make no

representations that any services will be eligible for coverage under your insurance policy.

21. PATIENT RIGHTS

Patients receiving clinical services through our affiliated providers have certain rights, including:

the right to be treated with courtesy, respect, and dignity; the right to a prompt and reasonable

response to questions; the right to know who is providing your care; the right to be informed of

diagnosis, treatment options, alternatives, risks, and prognosis; the right to refuse treatment; the

right to receive an itemized bill; and the right to impartial access regardless of race, national

origin, religion, disability, or source of payment.

22. COPYRIGHT INFRINGEMENT CLAIMS

Inner Alchemy Co complies with the Digital Millennium Copyright Act ("DMCA"). If you believe

copyrighted content on our Website infringes your rights, you may submit a notification to our

designated agent at hello@inneralchemyco.com with: a description of the copyrighted work;

identification of the infringing material; your contact information; a good-faith statement that the

use is unauthorized; and a statement under penalty of perjury that your notice is accurate and

you are authorized to act on behalf of the copyright owner.

23. MISCELLANEOUS

These Terms, together with the Privacy Policy, Shipping Policy, Refund Policy (available at

[www.inneralchemyco.com) and the Telehealth Informed Consent (presented at sign-up) (collectively, the

"Incorporated Agreements"), constitute the entire agreement between you and Inner Alchemy

Co regarding the subject matter hereof. The Incorporated Agreements are incorporated herein

by reference and form part of this agreement. If any provision is found to be invalid by a court of

competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure

to enforce any provision does not constitute a waiver of that provision. You may not assign or

transfer your rights under these Terms without our prior written consent.These Terms, together with the Privacy Policy, Shipping Policy, Refund Policy (available at https://shop.inneralchemyco.com/terms-and-conditions) and the Telehealth Informed Consent (presented at sign-up) (collectively, the "Incorporated Agreements"), constitute the entire agreement between you and Inner Alchemy Co regarding the subject matter hereof. The Incorporated Agreements are incorporated herein by reference and form part of this agreement. If any provision is found to be invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of that provision. You may not assign or transfer your rights under these Terms without our prior written consent.

24. STATE-SPECIFIC NOTICES

Please see the following regarding the provision of medical services by the Provider Group or

any individual healthcare providers. Inner Alchemy Co LLC intends to serve clients in all U.S.

states and territories. The following state-specific notices apply to residents of those

jurisdictions.

FOR FLORIDA RESIDENTS: Each provider is a physician licensed by the Florida Board of

Medicine or the Florida Board of Osteopathic Medicine. Provider hours are variable and will be

posted on the Website.

FOR CALIFORNIA RESIDENTS:

 You or your legal representative retain the option to withhold or withdraw consent to

receive health care services via the Provider Group at any time without affecting your

right to future care or treatment or risking the loss or withdrawal of any benefits to which

you or your legal representative would otherwise be entitled.

 All existing confidentiality protections apply.

 All existing laws regarding patient access to medical information and copies of medical

records apply.

 Dissemination of any of your identifiable images or information from the telemedicine

interaction to researchers or other entities shall not occur without your consent.

 All provisions herein, including your informed consent to receive services via the

Website are for the benefit of the treating provider as well as for your benefit.

 Medical doctors are licensed and regulated by the Medical Board of California. To check

up on a license or to file a complaint go to www.mbc.ca.gov, email

licensecheck@mbc.ca.gov, or call (800) 632-2322.

 Physician assistants are licensed and regulated by the Physician Assistant Board of

California, www.pab.ca.gov or (916) 561-8780.

 The Open Payments database is a federal tool used to search payments made by drug

and device companies to physicians and teaching hospitals. It can be found at

https://openpaymentsdata.cms.gov. This link to the federal Centers for Medicare and

Medicaid Services (CMS) Open Payments web page is provided here for informational

purposes only. The federal Physician Payments Sunshine Act requires that detailed

information about payment and other payments of value worth over ten dollars ($10)

from manufacturers of drugs, medical devices, and biologics to physicians and teaching

hospitals be made available to the public.

FOR RESIDENTS OF ALL OTHER STATES AND TERRITORIES: You retain the right to

withhold or withdraw consent to receive health care services via telehealth at any time without

affecting your right to future care or treatment, and without the loss of any benefits to which you

you are located at the time of service. You have the right to receive information about the

identity and professional credentials of your treating health care provider. Dissemination of any

identifiable images or information from your telehealth interaction to researchers or other entities

shall not occur without your consent. You have the right to access and obtain copies of your

medical records in accordance with applicable law. If you wish to file a complaint regarding your

provider, please contact the state medical licensing board for the state in which you are located

at the time of service.
